Plain English summary: By using Auzora's services, you agree to pay for what you use, use the platform responsibly, and understand that AI isn't perfect. We limit our liability to the amount you've paid us. You're responsible for disclosing to your callers that they may be speaking with an AI.
1. Acceptance of Terms
By accessing or using any service provided by Auzora ("Company," "we," "us," or "our"), including the Atlas AI phone agent platform, client portal, automation services, or related software, you ("Client" or "you") agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a business, you represent that you have authority to bind that business.
2. Services
Auzora provides AI-powered business automation services including, but not limited to:
- Atlas AI — AI phone agent for inbound call handling, appointment booking, and lead qualification
- Automation workflow setup and management
- CRM integration and lead management systems
- Client portal and administration tools
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.
3. Payment Terms
- Subscription fees are billed monthly in advance and are non-refundable except as required by law.
- Usage-based charges (e.g., excess call minutes) are billed at the end of each billing cycle.
- Failure to pay may result in suspension of services within 10 days of the due date.
- All prices are in USD. We reserve the right to change pricing with 30 days' notice.
- You are responsible for all applicable taxes.
4. Acceptable Use
You agree not to use our services to:
- Violate any applicable law or regulation
- Send unsolicited communications (spam) or engage in telemarketing without proper consent
- Send SMS messages to any recipient who has not provided prior express consent, or who has opted out by replying STOP or similar opt-out keywords
- Use SMS messaging for marketing, promotional, or cold outreach purposes — Auzora SMS is strictly transactional and limited to responses to inbound caller inquiries
- Impersonate any person or entity or misrepresent your identity
- Collect or process personal data in violation of applicable privacy laws
- Interfere with or disrupt the integrity of our platform
- Use the AI agent for any illegal, harmful, or deceptive purpose
We may terminate your account immediately for material violations of this section.
5. AI Disclosure Responsibility
This is your responsibility, not ours. When you deploy an AI phone agent through Atlas AI, you are solely responsible for:
- Disclosing to callers that they may be interacting with an artificial intelligence system, as required by applicable laws (including California AB 302, and similar state laws)
- Complying with the Telephone Consumer Protection Act (TCPA) and all applicable telemarketing and call recording laws
- Obtaining any required consent from callers before recording or processing their communications
- Obtaining prior express consent from callers before sending SMS messages, and honoring all opt-out requests (STOP, STOP ALL, UNSUBSCRIBE, CANCEL, END) within 24 hours
- Ensuring SMS messages are sent only in response to an inbound caller inquiry and are not used for unsolicited marketing or cold outreach
- Complying with CTIA Messaging Principles and Guidelines, A2P 10DLC requirements, and all applicable carrier rules for SMS messaging
- Ensuring your use of the AI agent complies with all federal, state, and local regulations
Auzora provides the technical platform only. We are not responsible for your compliance with telephony, SMS, or messaging laws or regulations.
6. Data and Privacy
By using our services, you agree to our Privacy Policy, which is incorporated into these Terms. You grant Auzora a limited license to process data you provide solely to deliver the services.
You remain the owner of all your business data, including call transcripts, appointment records, and customer information. We do not sell your data to third parties.
7. Intellectual Property
All software, designs, and technology underlying Auzora's services are owned by Auzora. You receive a limited, non-exclusive, non-transferable license to use our services during your subscription. You may not copy, modify, reverse-engineer, or resell any part of our platform.
8. AI Accuracy Disclaimer
Our AI services are provided "as is." While we strive for accuracy, AI systems are not perfect and may:
- Misunderstand caller intent or provide inaccurate responses
- Fail to book appointments correctly in edge cases
- Experience downtime or degraded performance
Auzora makes no warranty that AI responses will be accurate, complete, or suitable for any particular purpose. You should review AI agent behavior regularly and maintain human oversight of critical business functions.
9. Limitation of Liability
To the maximum extent permitted by law:
- Auzora's total liability for any claim arising from these Terms or your use of our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.
- Auzora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of business opportunity.
- We are not liable for service outages caused by third-party providers (Twilio, OpenAI, AWS, etc.).
10. Indemnification
You agree to indemnify and hold harmless Auzora and its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your failure to comply with applicable laws, including telemarketing and AI disclosure laws; or (d) any claim by a third party related to your use of Atlas AI.
11. Term and Termination
Either party may terminate the agreement with 30 days' written notice. We may terminate immediately for material breach, non-payment, or illegal use. Upon termination, your access to the platform will cease and data may be deleted after 30 days.
12. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Texas, and you consent to personal jurisdiction therein.
13. Changes to Terms
We may update these Terms at any time. Continued use of our services after changes constitutes acceptance. Material changes will be communicated via email or portal notification with at least 14 days' notice.
